Successful Legal Support for Client’s Incorporation and Microfinance Launch in Mexico

05/ 03/ 2025
Hillmont Partner’s team is proud to share a recent accomplishment that underscores our commitment to delivering exceptional legal solutions for our clients’ global business ventures. We successfully provided comprehensive legal support to our client in the incorporation of the company in Mexico and the establishment of its microfinance business operations. This achievement is a testament to our expertise in navigating complex international legal frameworks and our ability to help clients achieve their strategic objectives in emerging markets. From the initial stages of entity formation to ensuring compliance with Mexican corporate, tax and financial regulations, our team guided the client through every step of the process. Key aspects of Hillmont’s assistance included: (a) advising on the appropriate corporate structure to align with the client’s group of companies, business goals and regulatory requirements; (b) drafting and filing necessary incorporation documents in compliance with Mexican law; and (c) providing ongoing legal advice on corporate governance, tax, compliance, and operational matters. This project highlights Hillmont’s ability to deliver tailored legal support for businesses entering new markets and operating in highly regulated industries such as microfinance. “We are thrilled to assist our client with launching the microfinance business in Mexico, helping them to expand their mission of providing accessible financial solutions to underserved communities”, Valentyn Zasukha, Senior Partner, Head of Corporate and M&A practice, commented. The matter was handled by Senior Partner Valentyn Zasukha and Senior Associate Iryna Nahorniak. Partner Adrian Cloer and Manager Sergij Kolesnikow from Forvis Mazars in Germany acted as the client’s advisors with respect to international tax structuring of the setup. The client’s advisors in relation to local Mexican legislation also included Gloria Ponce de León & Hernández (Mexico) and Horacio Salinas Santos from LIN Consultores (Mexico) who acted as a local tax advisor.
