EBA Odesa Legal School (lesson 2)

  In recent times in Ukraine there was a rapid development of corporate legal relations. Corporate law is an integral part of business corporate structure, which defines rules and procedures for making decisions on activities of an enterprise, control, as well as distribution of rights and responsibilities between bodies of an enterprise and its participants. Almost at every stage of realization of certain business projects there is a need to solve legal issues, starting with questions of creating an enterprise, planning its activities, completing the resolution of corporate conflicts, development of business structure, reorganization or liquidation of an enterprise. This was the topic of the second lesson of the EBA Odesa Legal School. Speaker Alina Labunska, junior lawyer at Arzinger, spoke about business structuring, niceties of doing business alone and with a partner, mechanisms of protection in both versions, as well as secrets of securing business from unscrupulous managers. Andriy Seliutin, Head of the School, Chairman of the EBA Odesa Legal Committee, Partner and Head of the Southern Branch of Arzinger answered the questions of the participants, in particular on the responsibility for not changing organizational and legal form, conversion of debt into an authorized capital, etc.
