KPMG’s M&A Radar 9m 2026: Ukraine<\/a><\/strong>. While investment activity was observed in the traditional local market mainstays of technology and agriculture, notable transactions also took place in the defence technology, power and utilities, industrial products, and consumer markets sectors. These latest results indicate a broader distribution of M&A activity across the Ukrainian economy when compared with the same period of the previous year.<\/p>\nMarket highlights<\/strong><\/p>\n9m 2026 saw a moderate increase in overall transaction volume and a more significant uptick in total value, with totaldisclosed deal value reaching USD2,139 million (nearly double the USD1,103 million recorded in the same period of the previous year). Even excluding the largest transaction in the first nine months of 2026, total disclosed deal value for 9m 2026 increased to approximately USD1,280 million.<\/p>\n
Global industrial company TCC Group Holdings’ planned acquisition of 100% of Ukrainian cement company IFCEM Group represented the aforementioned largest announced transaction in 9m 2026, with a notional enterprise value of up to EUR750 million (approximately USD860 million).<\/p>\n
The period also saw five other transactions valued at or above approximately USD100 million:<\/p>\n
\n- Agrifood concern MHP’s acquisition of a stake in Greek meat producer and distributor Th. Nitsiakos AVEE for USD290 million.<\/li>\n
- US-Ukrainian defence and AI software company Swarmer’s acquisition of Ukrainian defence technology business Ratel Robotics for an estimated USD224 million.<\/li>\n
- Ukrainian-founded online language learning platform Preply’s USD150 million Series D funding round.<\/li>\n
- Kapenata Limited\u2019s, part of Andriy Verevskyi\u2019s Enselco Group, acquisition of Agro-Region Group for more than USD100 million.<\/li>\n
- Polish insurance company PZU SA’s acquisition of Ukraine\u2019s largest life insurer MetLife Ukraine for an estimated USD100 million.<\/li>\n<\/ul>\n
Domestic deals decrease in proportion but still underpin the market<\/strong><\/p>\nDomestic transactions continued to account for the largest share of Ukrainian M&A activity, with 30 deals announced in the first nine months of 2026. However, the share of domestic deals in total M&A market activity declined from 70% in 9m 2025 to 59%, reflecting stronger inbound investment activity.<\/p>\n
Domestic dealmaking was concentrated in agriculture, real estate and construction, technology, power and utilities, and consumer markets. In addition to Swarmer’s acquisition of Ratel Robotics and Enselco Group’s acquisition of Agro-Region Group, the largest domestic transactions also included telecommunications company Kyivstar’s acquisition of six solar power plants in the Lviv region for USD80.8 million, and Andriy Verevskyi’s acquisition of a 21.44% stake in mining company Ferrexpo for approximately USD50 million.<\/p>\n
Foreign investor activity shows substantial year-over-year increase<\/strong><\/p>\nInternational investment saw a relative year-over-year increase, with the number of inbound transactions rising from eight deals in 9m 2025 to 13 deals in 9m 2026. Disclosed inbound deal value also increased from USD41 million to a more robust USD1,275 million. Even excluding the TCC\/IFCEM transaction, inbound deal value in 9m 2026 reached USD415 million, roughly ten times higher than the same period of 2025.<\/p>\n
Aside from TCC Group Holdings’ planned acquisition of IFCEM Group, the largest inbound deals included Preply’s USD150 million Series D funding round, and PZU SA’s acquisition of MetLife Ukraine, with the strongest foreign investor interest recorded in technology, industrial products, and banking and insurance.<\/p>\n
Technology, agriculture, energy, and defence sectors \u00a0remain in focus for investors<\/strong><\/p>\nTechnology has remained the most active sector by number of transactions, with 14 deals recorded in 9m 2026 compared with 13 in the same period last year.<\/p>\n
Agriculture, historically one of the integral sectors of Ukraine\u2019s economy, ranked second, generating USD428 million in disclosed deal value across eight transactions and accounting for approximately 20% of total M&A market value.<\/p>\n
Energy and utilities, meanwhile, recorded the strongest year-over-year growth in activity, with the number of announced transactions increasing from two deals in 9m 2025 to five deals in 9m 2026. Continued investment in energy security and renewable generation remained a key theme in this sector, emphasising the role of energy resilience in investor decision making.<\/p>\n
Investor interest in defence technology has also continued to grow: only two defence-related transactions exceeded KPMG\u2019s M&A Radar USD5 million reporting threshold in 9m 2025, compared to five such transactions in the first nine months of 2026.<\/p>\n
The largest among these was Swarmer’s estimated USD224 million acquisition of Ratel Robotics, while other notable transactions included US-headquartered public safety technology company Axon Enterprise’s USD10.4 million investment in defence company Buntar Aerospace and AI defence intelligence startup Farsight Vision’s USD8.6 million seed funding round.<\/p>\n
Outlook: capital investment in the face of difficult conditions<\/strong><\/p>\nAccording to Svitlana Shcherbatyuk, Partner, Head of Transaction Services, Deal Advisory at KPMG in Ukraine<\/strong>, the first nine months of 2026 point to a broader and more diversified M&A market in the future: \u201cWhile technology and agriculture continue to underpin M&A activity in Ukraine, investors are increasingly looking at opportunities in sectors linked to long-term economic resilience and growth. Rising activity in energy, industrial products, and defence technology, together with stronger inbound investment, demonstrates that deals continue to progress where asset quality, strategic rationale and the ability to manage Ukraine-specific risks are sufficiently strong\u201d<\/em>.<\/p>\nWhile transaction activity for the remainder of 2026 is expected to be supported by an existing pipeline of announced deals and investment initiatives, deal flow will be selective in terms of sectors of interest, with investments concentrated in defence and broader innovation and technology, agribusiness, energy resilience projects, and infrastructure-related investments. However, the pace of such dealmaking depends on security conditions, access to financing, external financial support, and the availability of adequate war-risk mitigation instruments.<\/p>\n
Nonetheless, several announced investment initiatives suggest that investors are willing to commit capital despite a challenging operating environment. Ukraine\u2019s Dragon Capital and Horizon Capital are raising new investment vehicles with a combined target size of approximately USD750 million. A new USD50 million programme focused on Ukrainian SMEs from the Ukraine-Moldova American Enterprise Fund and a planned EUR100 million defence technology fund targeting Ukraine and the Nordic region from Denmark\u2019s Final Frontier and Myriad Defence Fund also demonstrate ongoing international interest.<\/p>\n
While security and financing risks remain key constraints on dealmaking and Ukraine\u2019s wider economy in general, announced investment commitments and ongoing transaction activity indicate the potential for continued M&A momentum throughout 2026.<\/p>\n
