Hillmont Partners has advised Tencore<\/strong>, a Ukrainian developer and manufacturer of defence technologies specialising in unmanned ground systems, on the establishment of a joint venture with the German technology company Quantum Systems for the production of unmanned ground systems in Germany. Tencore’s flagship product is TerMIT, a modular tracked platform designed for logistics, casualty evacuation, engineering and other missions.<\/p>\n Hillmont Partners provided comprehensive legal support on the establishment by Quantum Systems and Tencore of the joint venture Quantum Tencore Industries<\/strong>, set up under the German\u2011Ukrainian Build with Ukraine initiative.<\/p>\n Quantum Tencore Industries has been created to scale up the production of combat\u2011proven unmanned ground systems and to combine Ukrainian technological and operational expertise with German industrial capacity. The joint venture was announced on 14 April 2026 during the Ukrainian\u2011German intergovernmental consultations in Berlin.<\/p>\n Over the next 12 months, Quantum Tencore Industries will manufacture 2,000 TerMIT unmanned ground systems in Germany for Ukraine’s Defence Forces. According to the parties’ announcement, the programme is funded by the German Federal Ministry of Defence and represents one of Europe’s most significant procurements of unmanned ground systems.<\/p>\n Hillmont Partners advised on the project from the earliest stage of structuring the cooperation between the parties and negotiating the future joint venture model.<\/p>\n The firm’s work included:<\/p>\n Working alongside Bono Legal<\/strong>, Hillmont Partners also advised on obtaining merger control clearance from the Antimonopoly Committee of Ukraine for the acquisition of joint control.
