{"id":151011,"date":"2018-11-20T15:05:48","date_gmt":"2018-11-20T13:05:48","guid":{"rendered":"https:\/\/eba.com.ua\/?p=151011"},"modified":"2018-12-13T17:06:46","modified_gmt":"2018-12-13T15:06:46","slug":"ukraine-adopts-guidelines-on-definition-of-control","status":"publish","type":"post","link":"https:\/\/eba.com.ua\/en\/ukraine-adopts-guidelines-on-definition-of-control\/","title":{"rendered":"[:en]Ukraine Adopts Guidelines on Definition of Control[:]"},"content":{"rendered":"<p><\/p>\n<p>The Antimonopoly Committee of Ukraine (AMC) recently adopted a <em>Methodological Recommendations on Definition of Control <\/em>(the Guidelines), which incorporate EU best practices in this area.<\/p>\n<p>The document&#8217;s purpose is to provide up-to-date and user-friendly guidance on the definition and assessment of control. While the Guidelines are not legally binding, they reflect the AMC\u2019s decisional practice and views on what practices may constitute control.<\/p>\n<p>The key points of the Guidelines include:<\/p>\n<ul>\n<li><strong>Concept and means of control<\/strong>: The Guidelines clarify and define concepts such as control, controlling entity, sole and joint control, acquisition of control, etc. In particular, control is widely defined and can be acquired through the acquisition of shares or assets, on a contractual basis or by any other legal or de facto means that \u2013 either separately or in combination \u2013 confer the possibility of exercising decisive influence over an undertaking.<\/li>\n<li><strong>Positive and negative control<\/strong>: The Guidelines explain the difference between positive and negative control, and clarifies typical situations where negative control occurs (e.g. the veto of strategic decisions).<\/li>\n<li><strong>Sole and joint control, de jure and de facto control<\/strong>: The AMC clarifies its interpretation of sole and joint control where a single undertaking or where two or more undertakings together acquire decisive influence over another undertaking.
