Joint Stock Companies 11 November 2008, Kyiv, Ukraine The European Business Association in conjunction with Law Group Pavlenko & Poberezhnyuk organised the EuroDebates focusing on the newly adopted Law on Joint Stock Companies that took place on 11 November 2008, at 17:30-19:00, at the Conference Hall of Opera Hotel. This time the EuroDebates hosted representatives of the State Commission of Ukraine on Securities and Stock Market, judges of the Supreme Economic Court of Ukraine, President of the Institute of Stock Market Development, highly-qualified lawyers etc. The list of key guest speakers included Oksana Sakhnatska, Head of Legal Department of the State Commission on Securities and Stock Market Serhiy Biryuk, Member of the State Commission on Securities and Stock Market Oleksiy Tarasenko, Director of Department on Methods for Regulating Securities Market, the Sate Commission on Securities and Stock Market Oleksandra Pavlenko, Partner of Law Group Pavlenko & Poberezhnyuk Larisa Poberezhnyuk, Partner of Law Group Pavlenko & Poberezhnyuk Vitaliy Burdak, lawyer Ukrainian and foreign businesses, lawyers and law authors convened to discuss the concept and provisions of the Ukrainian Law on Joint Companies for the first time ever since it was signed. The EuroDebates enabled law developers and lawyers to clarify ambiguous standards of the Law and outlined methods for overcoming obstacles for business incurred by the Law implementation to take effect in April 2009. The guest speakers agreed that the legal-based Law has an economic background to envisage many standards related to the most urgent economic issues. The EuroDebates attendees got all their questions answered directly by the State Commission on Securities and Stock Market -  the premier state body dealing with Stock Market, Securities and Joint Stock Companies - that developed the Law endorsed by the Parliament. Therefore the State Commission on Securities and Stock Market will be in charge of the Law implementation and amendment, when necessary. The participants showed their deep concerns as to whether the Law on Joint Stock Companies will protect rights of minority and majority shareholders.  Yet the attendees and speakers agreed that the Law main purpose was to establish a balance for protecting rights for both Parties. Also the participants asked if the Law, when introduced, will help combat raidering problems, though partially.  In reply to this question, the speakers emphasised that the Law does not aim to fight off illegal raidering but strives to regulate activities of joint stock companies. “These EuroDebates gave us a great opportunity to listen to opinions voiced by the attendees who are business people and key consumers of the Law. About EuroDebates

The European Debates (EuroDebates) are undoubtedly one of the most powerful vehicles – an EBA project aimed at strengthening constructive dialogue between the business community and representatives of legislative and executive authorities. As well these regular meetings serve as one of the main means for EBA members to enhance the vis-à-vis dialogue with the European Government officials.

From late 2007, the European Business Association started holding the EuroDebates as live broadcasts on the Channel 5 TV channel. This format gave EBA members a much bigger audience for polemic on issues vital for the entire business community of Ukraine.

EuroDebates begin at 5:00 p.m. or 5:30 p.m., which is more convenient for the business schedules of EBA members and invited guest speakers. In line with their concept, EuroDebates are held as ‘open events’ with the mass media. The participation of representatives of the mass media is subject to mandatory accreditation. This year the European Business Association held its EuroDebates every two months away from the EBA office.

We are proud of the fact that top officials of the Ukrainian Government are open to direct communication with EBA members, and that the EBA EuroDebates became for many EBA members a very efficient method of streamlined communication with the government. Each EuroDebates session gathers over 80-250 participants including EBA members, authorities, external experts and media. Only in 2007 EBA EuroDebates has already hosted over 20 keynote speakers.
