09/10 17:02 Round table: Law on Joint Stock Companies as a step towards enhancing corporate governance regulation in Ukraine - EBA Kharkiv Branch
Ms Yana Bugrimova and Mr Ruslan Kalnitskiy, CEOs of Prudens Company, presented the Law on Joint Stock Company. Presenters paid special attention to the analysis of current problems in corporate governance, namely: lack of guarantees to protect minority shareholders’ rights in a joint stock company, abuses at holding general shareholders meetings, lack of the mechanism to resist raiders’ attacks, lack of information related to JSCs’ activities. The provisions introduced by the JSC Law will ensure the right of a shareholder to receive information on a joint stock company activity and cancel the common practice to pay dividends by products of this very company. The JSC Law proposes to establish the quorum to 60% of shares and envisages some protective measures for minority shareholders permitting them to obligate a majority shareholder to purchase their shares.
EBA HR Committee
at the EBA office in Kyiv, 1-st floor, 1A Andriyivsky Uzviz. The meeting was devoted to summarising results of the EBA HR Committee activity in 2008. During this meeting the participants discussed the Committee priorities and action plan for 2009.
