In October, 2008 AS “Latvijas Krâjbanka”, one of the leaders in the Latvian banking sphere, acquired 51% of shares in SIA „Center Credit”, Latvia. As a result of this transaction, AS “Latvijas Krâjbanka” acquired an indirect control over Ukrainian based limited liability company “Spozhiv Servis”, being wholly owned subsidiary of SIA “Center Credit”. The core of “Spozhiv Servis” business is providing consumer credits to the population under the registered trademark “CENTER CREDIT.”
While providing legal support for the project Vasil Kisil & Partners’ lawyers conducted a limited legal due diligence of “Spozhiv Servis”, structured transaction, drafted and negotiated the documents on Ukrainian companies involved in the transaction, reviewed and analyzed share purchase agreements,, loan and shareholders agreements from the Ukrainian legislature compliance point of view, participated in negotiations and provided other legal support. Vasil Kisil & Partners law firm also represented AS “Latvijas Krâjbanka” in Ukrainian merger clearance matters.
