On 02 September 2008 the National Bank of Ukraine issued a permit for reorganization of JSB “Factorial-Bank” by means of its acquisition merger (pryednannia) by and with OJSC “SEB Bank”. As a result of such acquisition merger Factorial-Bank will join SEB Bank as a non-balance outlet.

Vasil Kisil & Partners acted as a legal adviser to Skandinaviska Enskilda Banken AB in the course of obtaining the above merger permit by its subsidiary banks from the National Bank of Ukraine. In particular, Vasil Kisil & Partners elaborated the reorganization plan, advised on regulatory, corporate and employment issues arising in the process of the acquisition merger, as well as prepared the set of documents submitted with the National Bank of Ukraine for obtaining of the merger permit.

In December 2007 Vasil Kisil & Partners also advised Skandinaviska Enskilda Banken AB on the acquisition of JSB “Factorial-Bank”.
