Kyiv - The Kyiv office of DLA Piper, a global legal services organisation, together with Concorde Capital Investment Capital, held a joint seminar for clients on restructuring of Ukrainian business 23 April.
The seminar was aimed at the top management of Ukrainian companies that consider IPO and private placements as the alternative ways of financing their own business, and are interested in more transparent and efficient functioning of a company in general. During the event, participants investigated the financial and legal aspects of the restructuring of Ukrainian business, in particular, practical aspects of preparation for due diligence and restructuring, peculiarities of creation and financing of holding companies in different jurisdictions, in particular in Cyprus and the Netherlands, and also its establishment for IPO purposes.
According to Concorde Capital Vice-President Dmytro Havrylenko, “In spite of the global financial crisis, we do not observe any slump in the demand for Ukrainian shares among foreign investors. Just the reverse is true – its considerable growth is seen. Global markets provide for fewer chances to make money for today, and any activity implies high risks. Against this background, emerging markets offer an attractive alternative to investors. Moreover, Ukraine is under-represented on global stock markets.” He also underlined, that “It should be noted that the current global crisis will have a material effect on investors’ approach to their decision-making. Thus, today, each of the stages of companies’ preparation for placements should be arranged more thoroughly than was done before.”
The seminar was rather reasonable due to its subjects topicality. Margarita Karpenko, Managing Partner of the Kyiv office of DLA Piper, commented: “We are glad to hold such an interesting and useful seminar for our existing and prospective clients. Its key point was not only to facilitate the participants’ deeper understanding of legal intricacies related to restructuring, but also to inform them about our expertise in completing such sort of transactions. This year, we are planning to hold several more similar events, though related to other legal issues. Sometimes we can observe a situation when a client who has been working with us regarding a specific set of issues does not know that we can offer it other legal services as well. Therefore, this is one of the types of cross-selling to us".
The seminar was attended by representatives of the following companies: Incom, OBI, Galnaftogaz, UPEC, Dafi, Kyiv Investment Group, Foxtrot, ALLO, etc.
